01About these terms#
These terms govern your use of passridge.com and the services we offer through it. They are a contract between you and the PassRidge company that serves your region: PassRidge Ltd (Company No. 13482617 (England & Wales)) for the UK, the EU and the rest of the world outside the Americas, or PassRidge LLC (Delaware limited liability company) for the United States, Canada and Latin America. We call the relevant company "PassRidge", "we" or "us".
The sections up to and including “Using the website” apply to everyone. The sections for Candidates, Clients and Flex contractors add terms for each group. If you use PassRidge in more than one role, each section applies to what you do in that role. If sections conflict, the more specific part wins. A signed order form or master services agreement with a client overrides the client terms below.
02Using the website#
- You must be 18 or older and able to enter a contract.
- Give accurate information and keep your login secure. You are responsible for what happens under your account.
- Do not scrape the site or job data at scale, probe for security holes without our written permission, upload malware, send spam, impersonate PassRidge staff or others, or post anything unlawful or discriminatory.
- Report security issues to [email protected]. We do not take action against good-faith research that follows responsible-disclosure norms.
We may suspend or close an account that breaks these terms or puts others at risk. We will tell you why unless the law or a safety reason prevents it.
03Candidates#
This section applies when you create a profile, apply for a role or ask us to find you work.
- Free for you. We never charge candidates for applications, matching, introductions, placement or Flex access. Anyone who asks you for money in our name is not us. See the Candidate promise.
- Your consent comes first. We share your CV or profile with a named client only after you agree to that introduction.
- Be truthful. Your CV, references and right-to-work information must be accurate. We may withdraw an introduction if they are not.
- Roles are not guaranteed. Listings may be client roles, partner roles, public market listings or talent-pipeline roles, and each listing says which. Pay shown as an estimate is an estimate. We do not promise an offer, an interview or a start date.
- You decide. You can withdraw an application or delete your profile at any time. Offers and employment terms are between you and the employer.
- Your content. You keep ownership of your CV and portfolio. You give us a licence to store it, reformat it for clients you approve and show it to them.
04Clients#
This section applies when you enquire about hiring, outsourcing or Flex capacity, or sign an order form.
- Services and fees. Services, rates and payment terms are in your order form and on our published pricing. Invoices are due in 30 days unless the order form says otherwise. Late amounts carry interest at 4% over the Bank of England base rate (UK) or the lesser of 1% a month and the legal maximum (US).
- Introductions. A candidate we introduce is ours for 12 months. If you hire that person in that period, directly or through another agency, the placement fee in your order form applies. Permanent placements carry a replacement guarantee as stated in the order form.
- Employment checks. You are responsible for your hiring decision, right-to-work checks, references and employment terms unless we agree in writing to do a check for you.
- Non-discrimination. You will not give us instructions that discriminate on a protected characteristic. We decline briefs that do.
- Confidentiality and data. Treat candidate information as confidential and use it only for the role it was shared for. Where we process personal data for you, our data processing addendum applies. Ask for it at [email protected].
- Flex and outsourcing. Work delivered by Flex contractors or a managed team is governed by the statement of work. Deliverable IP passes to you on payment, as set out in the order form.
- Liability. Our total liability under a client engagement is limited to the fees you paid us in the 12 months before the claim. Neither side is liable for indirect or consequential loss. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything the law does not allow us to limit.
05Flex contractors#
This section applies when you join PassRidge Flex and accept project tasks. The Contractor terms set out the full agreement, including independent contractor status, IP, confidentiality and payment. In short:
- You are an independent contractor, not an employee, worker or agent of PassRidge or the client. You choose whether to accept a task and how to do it.
- You may work for others, including other agencies. We do not require exclusivity.
- Each task shows its rate, hours and deadline before you accept. You are paid for approved work on the schedule in the contractor terms.
- You tell us about any conflict of interest, including your main employer's rules on outside work, before you start.
06Content, intellectual property and links#
The site, our brand, templates, tools (Level Test, CV Checker, calculators) and job summaries are ours or our licensors'. You may use them for your own career or hiring purposes. You may not copy, resell or build a competing dataset from them. Job listings are rewritten summaries; employers and sources keep the rights in the original posts.
Our tools give general guidance. A Level Test result or a salary estimate is not a promise about your pay or your hiring chances. Links to other websites are for convenience and we do not control them.
07Disclaimers and liability#
We give you the site and tools "as available". We try to keep data accurate and current, but pay figures, market data and job details can change. We do not guarantee uninterrupted access. To the extent the law allows, we exclude implied warranties.
If you are a consumer or candidate, our liability for loss caused by our breach is limited to loss that was a foreseeable result, and in any case to £1,000 or US$1,000 (as relevant to your region) in total, except where the law does not allow a limit. Your statutory rights are not affected.
09Ending your use#
You can stop using PassRidge and delete your account at any time. We can end or limit access if you break these terms, if the law requires it, or if we stop offering a service (we give at least 30 days' notice for a service you pay for). Sections that by nature continue, such as IP, confidentiality, fees owed and liability, survive.
10Governing law and disputes#
| Your PassRidge company | Governing law | Where disputes go |
|---|---|---|
| PassRidge Ltd (UK, EU and rest of world) | The laws of England and Wales | The courts of England and Wales. Consumers in Scotland, Northern Ireland or an EU country can also use their local courts and mandatory local consumer law. |
| PassRidge LLC (US, Canada, Latin America) | The laws of the State of Delaware, without regard to conflict-of-law rules | The state and federal courts in Delaware. Business disputes may first go to good-faith negotiation for 30 days, then to JAMS arbitration in Wilmington if both sides agree. Nothing here limits mandatory consumer rights in your home state. |
Contact us first at [email protected]. Most problems can be solved in a conversation.
11Changes to these terms#
We may update these terms. Material changes take effect 30 days after we post them or email you, and you can stop using PassRidge before then. Continued use after that date means you accept the new terms. An order form already signed keeps its terms until it ends.
